Terms.
Effective date: May 24, 2026. Read this once before you use Strux. By using the service you accept every word of it.
iWho we are.
Strux is a product operated by Calyvent ("we", "us", "our"). The single point of contact is strux@calyvent.com. We do not operate a phone line, a chat desk, a ticketing portal, or a support team. All communication, including legal notice, must be sent to that address. We are not obligated to reply within any specific timeframe.
iiWhat Strux is, and isn't.
Strux is a browser-only utility that converts between EDI X12, HL7 v2, CSV, JSON, and PostgreSQL DDL. The conversion runs entirely on your device. We do not receive, store, transmit, or process the contents of any document you paste, type, drop, or otherwise submit into the workspace.
Strux is not a healthcare clearinghouse, EDI clearinghouse, business associate, covered entity, regulated medical device, certified compliance tool, validation tool, or auditing service. It is not a substitute for professional review by a licensed integration engineer, attorney, accountant, compliance officer, or healthcare professional. It does not produce regulatory-grade output. Any output it produces must be independently reviewed before use.
Strux is offered as a writing instrument for technical work. You are the operator. You decide what to do with the output.
iiiHow the press is run.
We do not actively service Strux. There is no service-level agreement, no uptime guarantee, no response-time guarantee, and no scheduled maintenance window. Updates ship when they ship. Bug fixes happen if and when we choose to make them. We may stop, pause, throttle, restrict, or remove the service at any time without notice.
If Strux is unavailable, malfunctioning, returning incorrect output, or behaving unexpectedly, your sole option is to email strux@calyvent.com. We may respond. We may not. We are under no obligation to respond, fix, refund, or remediate.
ivAccounts and access.
The free tier requires no account. The paid tier requires an account, created by sending a one-time sign-in link to your email through Supabase Auth. By signing in, you confirm that the email belongs to you and that you are at least eighteen years of age and legally able to enter into a binding contract.
You are responsible for the security of your email inbox. Anyone with access to your inbox can sign in to your Strux account. We are not liable for any unauthorized access that results from a compromised inbox.
vPayment, billing, cancellation.
Pricing.
The paid tier is ten US dollars per month, billed monthly through Stripe. The price may change with at least seven days' notice posted on the upgrade page or sent to your sign-in email.
Statement descriptor.
Charges appear on your statement as Velocity. by Calyvent.
Renewal.
Your subscription renews automatically each month until cancelled. By providing your card, you authorize us to charge the card monthly until cancellation.
Cancellation.
You may cancel at any time by emailing strux@calyvent.com with the subject line cancel. Cancellation takes effect at the end of the current billing period. We do not pro-rate, do not refund partial months, and do not retroactively credit unused time.
Refunds.
All sales are final. We do not issue refunds, credits, or chargebacks of any kind. If a charge appears that you did not authorize, email us within seven days and we may, at our sole discretion, investigate.
Failed payments.
If a payment fails, your unlimited entitlement is revoked immediately and the daily free limit resumes. You are responsible for any fees your bank charges for failed transactions.
viYour data, your responsibility.
Strux processes your data in your browser. We never see, store, or transmit it. This means you — and only you — are responsible for the legality, accuracy, completeness, classification, retention, encryption, and disposal of any data you choose to load into the workspace.
You are solely responsible for ensuring your use of Strux complies with every law, regulation, contract, and policy that applies to you, including but not limited to: HIPAA, HITECH, GDPR, CCPA/CPRA, PCI DSS, GLBA, SOX, state breach-notification laws, contractual confidentiality obligations, trade-partner agreements, and your own organization's internal policies.
Strux is not a Business Associate under HIPAA. We will not sign a Business Associate Agreement. If your use case requires a BAA, you must not use Strux.
viiDisclaimer of warranties.
The service is provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise. Calyvent disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, availability, security, non-infringement, and quiet enjoyment. We do not warrant that the service will be uninterrupted, error-free, virus-free, accurate, or that defects will be corrected. We make no warranty regarding the output of any conversion, including its correctness, validity, or compliance with any standard or regulation.
viiiLimitation of liability.
To the maximum extent permitted by applicable law, in no event shall Calyvent, its owners, employees, contractors, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, regulatory fines, contract penalties, breach-notification costs, or cost of substitute services, arising out of or in connection with your use of, or inability to use, Strux — even if Calyvent has been advised of the possibility of such damages.
Calyvent's total cumulative liability to you for any and all claims arising out of or related to Strux shall not exceed the greater of (a) the total amount you have paid Calyvent in the three months immediately preceding the event giving rise to the claim, or (b) ten US dollars. This limit applies regardless of the form of the claim, whether in contract, tort, statute, or otherwise.
ixIndemnification.
You agree to indemnify, defend, and hold harmless Calyvent and its owners, employees, contractors, agents, suppliers, and affiliates from any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of Strux; (b) your data, including any data you load, process, or output through Strux; (c) your violation of these terms; (d) your violation of any law, regulation, contract, or third-party right; and (e) any output of Strux that you act on, share, transmit, or rely upon.
xAcceptable use.
You agree not to: (i) use Strux to violate any law or regulation; (ii) attempt to reverse-engineer, decompile, or extract source from any non-open portion of Strux beyond what is permitted by law; (iii) attack, overload, probe, or otherwise interfere with Strux's infrastructure; (iv) impersonate another person; (v) use Strux to process data you do not have the legal right to process; (vi) resell or rebrand Strux as your own service without a written agreement.
xiIntellectual property.
The Strux name, the Calyvent name, the Velocity name, and the design, code, typography, and visual identity of strux.calyvent.com are the property of Calyvent and its licensors. You may not copy, modify, distribute, or create derivative works without written permission. Your data and your output are yours; we claim no ownership over them.
xiiTermination.
We may suspend or terminate your account, your access, or the entire service at any time, for any reason or no reason, with or without notice. On termination, all rights granted to you cease immediately. The provisions of these terms which by their nature should survive termination — disclaimers, limitations of liability, indemnification, payment obligations already accrued, governing-law provisions — survive.
xiiiChanges to these terms.
We may update these terms at any time by posting a new version at this URL and updating the effective date at the top. Your continued use of Strux after changes are posted constitutes acceptance of the new terms. If you do not accept the new terms, your only remedy is to stop using Strux.
xivGoverning law & dispute resolution.
These terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms or Strux shall be resolved exclusively by binding individual arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association, seated in Wilmington, Delaware. You waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding. If a court finds the class-action waiver unenforceable, the entire arbitration clause is severed and disputes will be resolved in the state or federal courts located in Wilmington, Delaware, to whose exclusive jurisdiction you consent.
You must bring any claim within one year after the cause of action accrues, or it is permanently barred.

The single channel for any matter — billing, cancellation, legal notice, takedown, complaint, suggestion, refund request — is strux@calyvent.com. Letters sent to other addresses are not considered delivered.
